BCR boosts its share capital to more than 1 billion RON

The shareholders of Banca Comerciala Romana S.A., met on 22.04.2010 in Extraordinary General Meeting of Shareholders (EGMS) and Ordinary General Meeting of Shareholders (OGMS), according to the call notices, approved the increase of BCR SA share capital to RON 1,030,209,375, by including a part worth RON 237,740,625 from the net profit obtained by BCR, related to the financial year 2009.
The increase of the share capital is made by increasing the current face value of RON 1 per share to the new face value of RON 1.3 per share.
Accordingly, the shareholders approved the amendment of art.4 and art.39 of BCR S.A. Charter.
The shareholders also approved BCR financial statements and consolidated financial statements of BCR Group for the financial year ended on December 31, 2009, as well as the discharge from management accountability of the Supervisory Board members and Management Board members for the financial year 2009.
The shareholders re-elected the Supervisory Board members for a new 3 year mandate starting with April 22, 2010 – both the ones proposed by the majority shareholder and the ones proposed by the Financial Investment Companies (SIF).
Thus, BCR Supervisory Board has the following membership:

3. Herbert JURANEK - Member
4. Bernhard SPALT - Member
5. Florin POGONARU - Member
6. Mihai Fercala - Member

The shareholders have also approved all the other documents included on the agenda of the EGMS and OGMS.
