Nestor Nestor Diculescu Kingston Petersen Assisted Ford Motor Company in Acquiring SIF Oltenia’s Stake in Automobile Craiova

Bucharest, April 13th 2009 - Nestor Nestor Diculescu Kingston Petersen (NNDKP) announced that it has recently assisted Ford Motor Company in acquiring from the Financial Investment Company Oltenia (SIF Oltenia) its participation in Automobile Craiova S.A. representing 22.85% of the foregoing company's share capital. The transaction coordinated by the Senior Partner Manuela Nestor and capital markets specialist Gabriela Ontica , was valued at 18 million Euro is one of the most significant deals to have taken place on the Bucharest Stock Exchange in the past months.
NNDKP was lead counsel to Ford Motor Company in Ford's acquisition of a majority stake in Romanian car producer Automobile Craiova S.A. concluded in September 2007.
Under the terms of the transaction, Ford will invest €675 million in the former Daewoo Motor Company facility located in Southwestern Romania, in addition to paying a purchase price of €57 million. The transaction, which involved a NNDKP's team of over fifteen lawyers, was the most significant to occur in Romania since Erste Bank acquired the majority stake in Banca Comerciala Romana in 2005, a transaction in which NNDKP represented the Romanian State as seller.
Recently, the global edition of Chambers & Partners, ranked the firm in the leaders' category for the two practice areas the publication researched in Romania, namely Banking & Finance and Corporate Law / Mergers & Acquisitions.
