DB Schenker group takes over Romtrans

Romtrans, the biggest Romanian company specializing in international delivery and freight transport, has been taken over by the group DB Schenker. With a turnover worth 18 billion euros, DB Schenker, the logistics division of Deutsche Bahn, is one of the main companies of logistics and transport worldwide.
Romtrans has a turnover of 90 million euros, some 2,000 shareholders and 1,350 employees, so, by this takeover, Schenker becomes the leader of the relevant market in Romania. The size of the two entities has made the transaction be one of the biggest in the Romanian market.
Romtrans' advisers in the process of takeover by Schenker have been Deloitte Corporate Finance and Reff & Associates, a law firm affiliated to Deloitte Romania.
'The transaction will generate for Romania benefits in many respects,' said Guy Verduystert, manager of Corporate Finance Deloitte Romania.
Ion Nan, manager of Romtrans, said that 'Deloitte has supported us in key moments, when we believed that the transaction could be annulled. The expertise of Deloitte team has helped us make this dream come true.'
The legal structure of the transaction has not been very common, against the background of traits specific to the company Romtrans (size, history, dispersed structure of the shareholding etc.)
'The buyer has run an extended procedure of due diligence and intense talks have been conducted between representatives of the management, financial advisers and lawyers, ensuring a full understanding of the positions of the parties. So, the observance of the legitimate interests of the other side has not generated compromises with one's own interest, ' said Alexandru Reff, partner of Reff & Associates, the law firm affiliated to Deloitte Romania, that has offered legal consultancy during the entire process.
