Rompetrol completes Vega refinery’s take over

The Rompetrol Group took over Rompetrol SA company integrally, the operator of Vega refinery, which resulted in Rompetrol Rafinare participation advancing from 73.27 per cent to 75.32 per cent, as recently announced by the board of Petromidia refinery, HotNews informs.
The Rompetrol Group conducted, over December 22, 2008 - January 12, 2009, at Rompetrol SA, a stakeholders' retreat operation, and then they delisted the company from Rasdaq. Within the operation, the group took over 1.01 per cent of the shares of Vega refinery, which they cannot control, against RON 4.5 M, and this resulted in the group having full control on the company.
The operator of Vega refinery owns 9.14 per cent of Rompetrol Rafinare, and after the integral take-over, The Rompetrol Group has 75.32 per cent of Rompetrol Rafinare shares, compared to 73.27 per cent previously. According to the capital market law, the shareholders which exceed certain thresholds, including 75 per cent, in a company, must inform National Commission of assets and the stock exchange about the new ownership.
In July last year, The Rompetrol Group launched a public buying offer for 131,565,324 shares, accounting for 7.54 per cent of Rompetrol Buchuresti capital, an operation having SSIF Tailwind Securities as broker, aimed at having the Bucharest based company withdrawn from trading. At that time, The Rompetrol Group, which owned 92.46 per cent of Rompetrol Bucuresti, indicated that they did not intend to liquidate the Bucharest based company, nor did they intend to change its main business, following this offer, but this was aimed at transforming Rompetrol SA into a closed company through its retreat from trading.
